Content Creator Terms & Conditions Agreement

PREAMBLE
This Content Creator Terms and Conditions Agreement ("Agreement") is entered into between WikiHover Inc. ("WikiHover," "we," "us," or "the Platform") and the individual or legal entity registering as a content creator ("Creator," "you," or "your"). By registering, accessing, or contributing content to the WikiHover Marketplace, you agree to be fully bound by all terms set forth in this Agreement.
Please read this Agreement carefully before registering. If you do not accept any of these terms, you must not register or submit content to the WikiHover Marketplace.
1. DEFINITIONS
For the purposes of this Agreement, the following definitions shall apply:
• "WikiHover Marketplace" or "Platform" refers to the digital marketplace operated by WikiHover, including its website, mobile applications, APIs, and all related services, tools, and infrastructure.
• "Content" refers to any text, images, videos, graphics, audio files, code, data, documents, or any other material created, uploaded, submitted, or distributed by the Creator through the Platform.
• "Intellectual Property Rights" means all copyright, trademark, patent, trade secret, moral rights, and any other proprietary rights worldwide.
• "Creator Account" means the registered account held by the Creator on the WikiHover Platform.
• "WikiHover Entity" refers collectively to WikiHover Inc., its subsidiaries, affiliates, officers, directors, employees, and authorized agents.
• "Policy Violation" means any breach of this Agreement or any supplementary guidelines, policies, or rules published by WikiHover from time to time.
2. ELIGIBILITY & REGISTRATION
To register as a Creator on the WikiHover Marketplace, you must: (a) be at least 18 years of age or the age of majority in your jurisdiction; (b) have the full legal capacity to enter into binding agreements; (c) provide accurate, current, and complete registration information; and (d) agree to and comply with this Agreement at all times.
WikiHover reserves the right to verify your identity and eligibility at any time and to reject or suspend any registration at its sole discretion. Providing false or misleading registration information constitutes an immediate and material breach of this Agreement.
3. CREATOR REPRESENTATIONS & WARRANTIES
3.1 Original Ownership
By submitting any Content to the WikiHover Marketplace, you expressly represent and warrant that:
• You are the sole original author and owner of all Intellectual Property Rights in the Content, or that you possess all necessary licenses, permissions, rights, consents, and releases to submit the Content to WikiHover and to grant the rights described in this Agreement.
• The Content is your original creation and does not infringe upon any third-party copyright, trademark, patent, trade secret, right of publicity, privacy right, or any other proprietary or legal right.
• The Content does not violate any applicable local, national, or international law or regulation.
• You have obtained all required consents from any identifiable individuals featured in the Content.
• You have the full right, power, and authority to enter into this Agreement and to grant WikiHover the rights and licenses described herein.
3.2 Content Responsibility
You acknowledge and agree that WikiHover acts solely as a distribution pipeline and intermediary platform for your Content. WikiHover does not author, create, curate, endorse, or take editorial responsibility for any Creator Content. The Creator bears full and exclusive responsibility for the accuracy, legality, originality, and appropriateness of all Content submitted to the Platform.
You accept full legal and financial liability for any claims, damages, penalties, or losses arising from: (a) any infringement of third-party Intellectual Property Rights by your Content; (b) any misrepresentation regarding Content ownership; (c) any illegal, defamatory, obscene, or harmful Content submitted to the Platform.
4. LICENSE GRANT TO WIKIHOVER
4.1 Broad License
By submitting Content to the WikiHover Marketplace, you hereby grant WikiHover a worldwide, non-exclusive, sublicensable, and transferable license to use, reproduce, distribute, display, transmit, adapt, modify, create derivative works from, and otherwise exploit your Content in connection with the operation, promotion, and improvement of the WikiHover Platform and related services.
As part of this Agreement, and in consideration of the license granted herein, the Creator shall be entitled to receive royalties in accordance with WikiHover’s Revenue Sharing Policy. Under this policy, the Creator shall receive fifty-five percent (55%) of the net revenue generated from the distribution and commercial exploitation of their Content on the Platform. The remaining forty-five percent (45%) shall be divided between WikiHover and the Publisher hosting the Creator’s Content, in proportions as determined by WikiHover’s then-current internal revenue allocation guidelines, which may be updated from time to time at WikiHover’s sole discretion.
Royalty payments shall be calculated on a monthly basis and disbursed to the Creator in accordance with WikiHover’s standard payment schedule. WikiHover reserves the right to withhold royalty payments in the event of a suspected or confirmed Policy Violation, pending investigation and resolution. Creators are responsible for all applicable taxes on royalties received, and WikiHover shall bear no tax liability on the Creator’s behalf.
4.2 Duration of License
The license granted in Section 4.1 shall remain in effect for the duration of your Creator Account and shall survive any termination or expiration of this Agreement with respect to Content that was submitted prior to termination. Specifically, WikiHover may retain archived copies of your Content for legal, compliance, or operational purposes after your account is closed.
4.3 No Compensation for License
Royalty payments to the Creator are governed exclusively by WikiHover’s Revenue Sharing Policy as described in Section 4.1 above. No additional fees, royalties, or compensation shall be owed to the Creator beyond the fifty-five percent (55%) revenue share set out in this Agreement, unless expressly agreed in a separate written instrument signed by an authorized representative of WikiHover.
4.4 No Future Claims
By accepting this Agreement, you expressly and irrevocably waive any and all claims, whether present or future, arising from or relating to WikiHover's use or distribution of your Content pursuant to the rights granted under this Agreement. You agree that you shall have no right to seek injunctive relief, damages, or other remedies in connection with WikiHover's exercise of the license granted herein.
5. WIKIHOVER RIGHTS RESERVATION
Notwithstanding the license granted in Section 4, WikiHover expressly reserves the absolute and unconditional right, at its sole discretion, to:
• Decline to publish, promote, distribute, or make available any Content submitted by a Creator, for any reason or no reason, without prior notice or obligation.
• Remove, de-list, suspend, or permanently delete any Content from the Platform at any time, with or without explanation.
• Restrict access to specific Content for particular geographic regions, user groups, or time periods.
• Modify, re-format, or adapt Content solely for technical compatibility or platform performance purposes, without altering the substantive meaning of the Content.
• Cease operating the WikiHover Marketplace in whole or in part at any time, which shall result in the cessation of all Content distribution.
WikiHover's decision not to use or distribute specific Content shall not give rise to any liability, claim, or obligation on WikiHover's part. The Creator acknowledges and accepts that the Platform is provided on a best-efforts basis with no guarantee of publication, visibility, reach, or commercial performance.
6. PROHIBITED CONTENT & CONDUCT
6.1 Prohibited Content
You agree that you will not submit any Content that, in WikiHover's sole judgment:
• Infringes or misappropriates any third-party Intellectual Property Rights, including copyrighted material submitted without authorization.
• Contains defamatory, fraudulent, deceptive, misleading, or false statements or representations.
• Violates any applicable law, regulation, or court order, including export control and data protection laws.
• Promotes or facilitates illegal activities, violence, terrorism, hate speech, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
• Contains sexually explicit, obscene, or pornographic material, particularly involving minors.
• Includes malware, spyware, ransomware, or any other harmful or malicious code or software.
• Invades the privacy of any individual without their express consent, including unauthorized personal data.
• Constitutes spam, unsolicited advertising, or deceptive marketing content.
6.2 Prohibited Conduct
In addition to content restrictions, you agree that you will not:
• Attempt to circumvent, disable, or interfere with the Platform's security features or access controls.
• Use automated tools, bots, or scraping technologies to access, harvest, or copy Platform data without prior written authorization.
• Impersonate any person, entity, or organization.
• Engage in conduct that undermines the integrity, reputation, or operation of the WikiHover Platform.
• Share or transfer your Creator Account credentials to any third party.
7. POLICY VIOLATIONS, ACCOUNT SUSPENSION & PERMANENT BAN
7.1 Investigation & Enforcement
WikiHover reserves the right, but not the obligation, to investigate any reported or suspected Policy Violation. WikiHover may, in its sole discretion and without prior notice, take any of the following enforcement actions upon determining or suspecting a Policy Violation:
• Issue a formal written warning to the Creator.
• Temporarily restrict or suspend the Creator's ability to upload or submit new Content.
• Remove or de-list specific Content from the Platform.
• Temporarily suspend the Creator Account, pending investigation.
• Permanently ban and block the Creator Account, revoking all access and privileges.
7.2 Account Blocking & Permanent Ban
Upon determination that a Creator has committed a serious, repeated, or willful Policy Violation — including but not limited to submitting Content that infringes third-party Intellectual Property Rights, providing false ownership representations, or engaging in any conduct that exposes WikiHover to legal liability — WikiHover shall have the right to:
• Permanently block the Creator's account and all associated accounts.
• Disable access to the Platform from associated email addresses, device identifiers, and IP addresses.
• Retain all Content previously submitted for evidence, legal compliance, and audit purposes.
• Pursue any available legal remedies, including claims for damages, injunctive relief, and reimbursement of legal costs.
7.3 No Right of Appeal for Severe Violations
For egregious Policy Violations, including but not limited to the submission of content that clearly and knowingly infringes third-party Intellectual Property Rights, WikiHover's enforcement decisions shall be final and not subject to appeal. For less severe violations, WikiHover may, at its discretion, offer a review process, the details of which shall be communicated to the Creator in the enforcement notice.
7.4 Survival of Obligations
All obligations of the Creator under this Agreement, including those relating to content ownership representations, IP indemnification, and confidentiality, shall survive any account suspension or permanent ban.
8. INTELLECTUAL PROPERTY INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the WikiHover Entity from and against any and all claims, demands, losses, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with:
• Any actual or alleged infringement of any third-party Intellectual Property Right caused by Content you submitted to the Platform.
• Any breach of your representations, warranties, or obligations under this Agreement.
• Any act or omission by you in connection with your use of the Platform.
• Any claim by a third party that your Content, or WikiHover's use of your Content pursuant to the license granted herein, violates such third party's rights.
WikiHover reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with WikiHover in asserting any available defenses. You shall not settle any claim subject to indemnification without WikiHover's prior written consent.
9. WIKIHOVER AS DISTRIBUTION PIPELINE
WikiHover operates solely as a technology platform and distribution pipeline for Creator Content. WikiHover does not, and shall not be deemed to, author, co-author, endorse, sponsor, or assume editorial control over any Creator Content. WikiHover's role is limited to providing the infrastructure and tools through which Creators make their Content available to end users.
As a distribution pipeline, WikiHover is not liable for any Content submitted by Creators and makes no warranty regarding the accuracy, completeness, reliability, or legality of any Creator Content. End users who access Creator Content through the WikiHover Platform do so at their own risk.
10. PRIVACY & DATA PROTECTION
Your use of the WikiHover Marketplace is governed by WikiHover's Privacy Policy, which is incorporated into this Agreement by reference. By registering as a Creator, you consent to the collection, processing, and use of your personal data in accordance with the Privacy Policy.
You warrant that any personal data of third parties included in your Content has been collected and is being shared in compliance with all applicable data protection laws and with the express consent of the individuals concerned.
11. DISCLAIMERS & LIMITATION OF LIABILITY
THE WIKIHOVER MARKETPLACE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIKIHOVER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM, EVEN IF WIKIHOVER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12. MODIFICATION OF TERMS
WikiHover reserves the right to modify, update, or replace this Agreement at any time at its sole discretion. Updated terms will be posted on the Platform with a revised effective date. Continued use of the Platform following such notification constitutes your acceptance of the modified Agreement. If you do not agree to the modified terms, you must cease all use of the Platform and request account deletion.
13. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction in which WikiHover is incorporated, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with recognized arbitration rules, or, where mandatory arbitration is not enforceable, to the exclusive jurisdiction of the competent courts in WikiHover's jurisdiction of incorporation.
14. GENERAL PROVISIONS
• Entire Agreement: This Agreement, together with WikiHover's Privacy Policy and any supplementary guidelines, constitutes the entire agreement between the Creator and WikiHover regarding the subject matter herein and supersedes all prior agreements and understandings.
• Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: WikiHover's failure to enforce any provision of this Agreement shall not constitute a waiver of its right to enforce such provision in the future.
• Assignment: You may not assign or transfer your rights or obligations under this Agreement without WikiHover's prior written consent. WikiHover may assign this Agreement freely.
• Notices: All legal notices to WikiHover shall be delivered in writing to the official address published on the WikiHover platform. WikiHover may provide notices to you via the registered email address associated with your Creator Account.
15. ACCEPTANCE
By registering a Creator Account on the WikiHover Marketplace, clicking "I Agree," or by submitting any Content to the Platform, you acknowledge that you have read, fully understood, and agree to be legally bound by all terms and conditions of this Agreement.
